Loading the Main Agreement in an SAP Ariba Contract Workspace

With enhanced contract authoring, users of SAP Ariba Contracts can easily leverage Microsoft Word functionality in the SAP Ariba system. Once the Legal team has formatted the agreement using Microsoft Word styles, system administrators can upload it to the Contract Workspace. The system will use the agreement structure to generate the online version of the document. Here we have the document which will serve as the main agreement for the contract workspace with the supplier Ariba Education. When creating this workspace, we have chosen a template that did not have a main agreement template. Please keep in mind that administrators can pre -configure main agreements at template level to support contract owners in drafting the contract. In such a case, owners can simply download the draft and use it as a starting point. To upload the Main Agreement, we go to the Actions button under the Documents tab and choose Upload Main Agreement. The same menu path allows you to upload Contract Addenda. On the next screen, you can choose to either copy the Main Agreement from a previously created contract workspace or import a new one. You can drag and drop your file or search for it on your computer. You can also specify whether the Main Agreement has to be in published state before the entire workspace can be published. Based on the file formatting, the system has generated the document Outline View, displaying the sections, subsections, and clauses. because this is a new set of clauses that haven't been added to the Clause Library yet. All clauses are marked as ad hoc. Notice the document version is V1. From the Outline View, we can access the Clause Library and search for clauses which could fit our purposes. For example, we will substitute the existing clause with a library clause that is preferred for the state of New York. Notice the change in clause type. Because of the joint Microsoft Word and SAP Ariba functionality, changes to the agreement can also be done offline, in Microsoft Word and then uploaded to the system. As we have just added a library clause to the agreement, the agreement version has changed to V1 editing. To make offline changes to this latest version, we must first download it. Notice that the clause substitution has been recognized by Microsoft Word, and it is highlighted in red. With track changes and editing enabled, we have now also made changes to the Arbitration section and saved the file as version 2. We can now import it back to SAP Ariba Contracts. We drag and drop the file. The system recognizes the new version and provides you with options on how to process the file. We choose to update with the new document and notice the changed Arbitration clause is now marked as non-standard. We can now save the agreement as version 2. By selecting the file, we have a list of options which include creating tasks for the document. Having review tasks set up for Main Agreements is quite common and will allow the contract team to keep track of the multiple rounds of review. Also, you can replace the document. Keep in mind that using this option will not allow you to verify the changes made in the file, but will automatically replace the old version with the new one. We choose View Details to inspect the different document version and the changes made. Returning to the outline view, there is one more menu worth mentioning. The Actions button at the top of the view allows you to add new clauses, sections and set up document properties. Document Properties are fields that can be inserted into a Microsoft Word contract document, which will then dynamically update when the fields in a contract workspace are updated. We are going to add the Contract Expiration date as an editable document property in Word. This means the expiration date may only be used once in any given contract document and must appear in the document it is enabled for. Continue learning to find out more about document properties and other contract authoring related topics.
